These Terms and Conditions (hereinafter, the "Terms") govern access to and use of the website domeriqo.com and the services offered by Domeriqo S.A.S. (CUIT 30-71856294-3), with legal domicile at Av. Libertador 6250, Floor 12, C1428ARS, Ciudad Autónoma de Buenos Aires, Argentina.

1. Acceptance of terms

By accessing, browsing, or using the Domeriqo platform services, you declare that you have read, understood, and accepted these Terms in their entirety. If you disagree with any provision, we ask that you refrain from using the site and the services offered. Continued use of the platform constitutes acceptance of any subsequent modifications to these Terms.

2. Service description

Domeriqo operates a digital real estate crowdlending platform that allows individuals and legal entities to participate in the collaborative financing of real estate projects in the Argentine Republic. The platform facilitates the connection between investors and real estate developers, providing detailed information about each project, tracking tools, and result distribution mechanisms. Domeriqo does not act as a financial entity or securities agent, but as a technological intermediary in accordance with authorizations granted by competent regulatory bodies.

3. Eligibility requirements

To use Domeriqo's investment services, you must: be at least 18 years old; have legal capacity to enter into binding contracts under Argentine law; hold a valid CUIT/CUIL and tax residence in the Argentine Republic or meet applicable requirements for non-resident investors; complete the identity verification (KYC) and investor profile process required by current regulations; and provide truthful, complete, and up-to-date information during registration.

4. Registration and user account

Access to certain platform functionalities requires creating a user account. You are responsible for maintaining the confidentiality of your access credentials and all activities carried out under your account. You must immediately notify us of any unauthorized use or security breach. Domeriqo reserves the right to suspend or cancel accounts that violate these Terms or show signs of irregular activity.

5. Participation in investment projects

Each project published on the platform includes information about: description and location of the real estate development; target financing amount and estimated timeline; participation conditions and minimum contributions; expected return and risk factors; and tentative result distribution schedule. The decision to participate in a project is exclusively the investor's, who must evaluate the information provided and, if deemed necessary, consult with independent financial and legal advisors before committing funds.

6. Investment risks

Participation in real estate crowdlending projects carries inherent risks, including but not limited to: risk of partial or total loss of invested capital; risk of delays or non-compliance with project timelines; risk of fluctuations in the Argentine real estate market; exchange rate and macroeconomic variation risks; and illiquidity risk, as participations may not be easily transferable. Domeriqo does not guarantee returns or capital recovery. Past returns do not constitute a guarantee of future results.

7. Intellectual property

All website content, including texts, designs, logos, images, software, databases, and source code, is the property of Domeriqo S.A.S. or its licensors and is protected by intellectual property laws of the Argentine Republic (Law 11,723) and applicable international treaties. Reproduction, distribution, modification, or unauthorized use of any content without express written consent from Domeriqo is prohibited.

8. Limitation of liability

To the maximum extent permitted by applicable law, Domeriqo shall not be liable for: indirect, incidental, special, or consequential damages arising from platform use; losses resulting from investment decisions made by users; service interruptions due to force majeure, scheduled maintenance, or circumstances beyond our control; or the conduct of third parties, including real estate developers and service providers. Domeriqo's total liability shall in any case be limited to the commissions actually received for the transaction in question.

9. Applicable law and jurisdiction

These Terms are governed by the laws of the Argentine Republic. For the resolution of any dispute arising from these Terms or platform use, the parties submit to the exclusive jurisdiction of the Ordinary Commercial Courts of the Ciudad Autónoma de Buenos Aires, expressly waiving any other forum or jurisdiction that may apply.

10. Modifications

Domeriqo reserves the right to modify these Terms at any time. Modifications will take effect upon publication on the platform. For substantial changes affecting user rights, prior notice of at least 30 days will be provided through the platform or by email. Continued use of the service after the changes take effect implies acceptance of the modified Terms.
